Dave Huelsmann was Treasurer of Open Source Matters, Inc. from 2008 to July, 2010 and Joomla Forum Global Moderator from 2005 to November, 2010. Now retired, he was a senior healthcare executive who managed large and diverse clinical laboratory, radiology, electroencephalography, and centralized patient transport operations/departments in both not-for-profit and for-profit companies throughout the United States.

On October 30, 2011, Paul Orwig summarized the next steps for the proposed reorganization of the Joomla! Leadership:

  • Let's discuss and decide if we still want to move forward with the changes that we agreed upon in San Jose as proposed in the blog, or
  • do we want to adopt one of the alternate proposals that came out of the JPeople discussion, or
  • do we want to not make any changes.

Interpretation:

  • Do we go forward and ignore the feedback from the community?
  • Do we adopt one or more of the community's suggestions from J!People?
  • Do we leave things as they stand now?

If you go to all of the trouble to establish goals and objectives with teams - even all volunteer teams, then it behoves you to ensure that you follow-up with those teams and establish their success, partial success, or failure in accomplishing those goals and objectives before you go down the path of establishing new goals and objectives.

Back in May, 2011, Paul Orwig published the goals and objectives of the PLT (Production Leadership Team), the CLT (Community Leadership Team), and OSM (Open Source Matters). Now in late October, Paul is calling for setting new goals and budgets for 2012 but he is not calling first for how those teams did against their 2011 goals so far. This is simply a complete failure of the OSM board and its leadership in ensuring that the goals and objectives actually mean something and are not simply slid into a drawer somewhere and forgotten.

It's all about disenfranchisement isn't it? That, combined with a severe accountability deficit has resulted in the minority (the 1% - Joomla! Leadership) fixing the system so that the majority (the 99% - Joomla! Community) have lost trust. Once the community loses trust in the core fairness of the Joomla! system then the system itself is in deep trouble. Currently it seems that the Joomla! Leadership is thinking of its own interests as distinct from the interests of the Joomla! Community when instead it should be bending over backwards to ensure that the two groups are on the same track together.

The good will earned by an accountable and transparent OSM is one of, if not the most important, of its assets. Volunteers will invest their time in Joomla! when they trust that OSM is acting ethically. And developers and users of Joomla! will return for services, and recommend Joomla! to others, when OSM has shown to be accountable for its actions.

On October 18, 2011, Paul Orwig who had originally started a discussion group on September 29, 2011 about Proposed leadership structure changes & request for community feedback posted in the Google Joomla Leadership public group that he was thinking of closing discussion on the proposal even though he committed originally to leave discussion open until October 27, 2011. Immediately, more discussion ensued. At the time he was proposing to shut down discussion there were 157 posts. As of today, Friday, October 21, 2011 at 1:17 pm CDT, there are 186 posts. Interestingly enough those 186 posts were placed by only 23 individuals. And, of those 23 individuals, only 16 are not members of the OSM Board, the Community Leadership Team, or the Production Leadership Team. Besides the obvious observation that very few of the community have weighed in with their opinions, very few of the various leadership team members have weighed in with theirs either.

I must have missed the Open Source Matters, Inc. publication of the 2010 Federal Corporate Tax Return (Form 1120) and the New York State CHAR500 return. And, depending on the contents of the CHAR500 return, maybe even a Form 990. Oh no I didn't, I just checked here on the OSM Federal Filings page and there are no links to the 1120 nor are there any filed CHAR500 in the New York State charities database. That's interesting!

Let's see, OSM, last I checked, operates on a calender year fiscal year. So that means they must file the 1120 by the 15th day of the third month after the end of their tax year. Hmm, that would make it due on March 15. A review of the available published OSM minutes (only published through July, 2011 as of this date) shows that in the March 2011 minutes, an automatic extension of 6 months was requested (note that it was not specific that this was just a Federal extension. There isn't a 6 month extension available in New York). Nothing wrong with that. Gives the accountants time to review and correct the books. But, wait a minute. That would make the the date the Federal taxes had to be filed by as September 15, 2011. So, supposedly the taxes forms have been filed but just like the other missing financial reports there hasn't been any publication of this information to the Joomla Community. I could be wrong, of course. Would love to see some communication from OSM about these issues. Nothing anywhere so far though.

According to the May 29, 2011 published OSM budget, the sponsorship line item was budgeted to bring in $63,000 in 2011. In the P&L report for May 29, 2011, there was no reported income from sponsorships. It is unfotunate that we don't have more current reports to review. A review of the available OSM board minutes for 2011 (published through July, 2011) revealed the Treasurer would be invoicing a new major sponsor (name not provided) would be coming on board (April, 2011); two large sponsors were reported recruited in the April OSM board meeting minutes (possibly one of those is the one reported to be invoiced by the Treasurer). No names were mentioned. In the May, 2011 OSM minutes, it was reported that they were ready to invoice the sponsor. In the July, 2011 minutes it was reported that they were following through on invoicing sponsors.

So, in summary, at least through the May, 2011 financial reports, no income from sponsorships was reported. By July 2011, the OSM board was still working on invoicing two (maybe 3) new sponsors. So, how to explain the following?

Have you had experiences relevant to the performance of a board or an issue the board should be dealing with, been brave enough to share them, only to have folks think you are trying to show off your knowledge and dismiss your thoughts without even giving you an opportunity for meaningful discussion? How does that make you feel? What if that seems to be happening over and over again - i.e., it's not an isolated incident and you're not the only one treated this way. People who have emotional and social intelligence. They know how to work effectively as part of a team. They treat people with respect, know how to communicate directly and with compassion, and never engage in bullying. Doesn't seem to be the mantra for the Open Source Matters group on JPeople. In spite of of their published purpose which came significantly after (May 9, 2011) the establishment of the group on June 19, 2010, there have been and continue to be poor experiences in trying to establish some kind of communication with OSM on issues where action was promised or on issues where no action has been seen, etc.

Of the seven total board meetings held in 2011 (January through July) by Open Source matters, Inc. (where there are available published minutes) one can see that attendance at board meetings by some individuals doesn't appear to be of overriding importance to either the individual or the rest of the board.

  • Altansukh Tumenjargal has missed 6 of the seven board meetings with available published minutes in 2011. That is a dismal 14% attendance record!
  • Akarawuth Tamrareang has missed 3 of the seven board meetings. That is a 57% attendance record.
  • Javier Gomez has missed 3 of the seven board meetings. That is a 57% attendance record.
  • Philip Locke has missed 3 of the seven board meetings. That is a 57% attendance record.

Some time ago I wrote a piece within the Open Source Matter's JPeople group about the missing president of OSM. He had promised in a blog that he would publish a "semi-regular dose of transparency and accountability to the Joomla community as to my activities as Open Source Matters (OSM) President." That was on March 22, 2010. There were two more published blogs March 29 and April 5, 2011. Nothing on this vein has been published since then. It was the sentiment of several commenters that Ryan was busily serving the Joomla community by attending various Joomla functions. I know Ryan is a very good PR person and personally had recommended he not be elected as president of OSM until the board had decided whether to have an executive director in place that could see to the actual leadership needs of OSM. I was concerned that Ryan would be so busy between his position as CEO of PICNet with offices on two coasts and his more then willing and capable PR activities for OSM that he would not devote the necessary energies to develop board members and work on the needed aspects to this organization. If you take the time to read the minutes from when Ryan was secretary of OSM and then when he became president, you will note that he no longer figures prominently in the minutes discussion at all.

Alice Grevet, a board member and Assistant Secretary of the Open Source Matters, Inc. board, writes a monthly article in the Joomla! Community Magazine title "Open Source Matters Report" for the month of that issue. It amazingly has absolutely nothing to do with OSM and everything to do with the other leadership teams within Joomla. Some people believe in conspiracy theories like John F. Kennedy's assassination, Roswell New Mexico's aliens, Princess Diana, and so on. If I was a believer in these conspiracy theories, I might want to believe that the OSM board has been preparing the way for some time to have all the other leadership teams reporting directly to the board. After all, why would OSM be reporting on their activities as if those activities were their own? Makes you think about this proposed organizational change doesn't it? After all, even Mel Gibson was eventually proved correct.
